Terms of Service

Rasml Contracting Company HVAC Contracting Services

Effective Date: March 2026

1. Introduction

These Terms of Service ("Terms") govern the contractual relationship between Rasml Contracting Company ("Rasml", "Contractor") and its clients ("Client") for HVAC installation, maintenance, repair, and consulting services. By engaging our services or signing a service agreement, you agree to these Terms.

2. Scope of Services

Rasml provides the following services:

HVAC system design, supply, and installation
Preventive and corrective maintenance
Air conditioning repair and spare parts replacement
Ventilation and mechanical works
Energy efficiency consulting
Annual maintenance contracts (AMC)

The specific scope, timeline, and price for each project will be defined in a separate Service Agreement or Purchase Order signed by both parties.

3. Quotations & Contracts

All quotations are valid for 30 days from the date of issue unless stated otherwise.
A signed contract or official purchase order is required before mobilization.
Any changes to the agreed scope must be submitted in writing and may result in a revised price and timeline (Variation Order).

4. Payment Terms

Invoices are issued based on project milestones or as specified in the agreement.
Payment is due within 30 days of invoice date unless otherwise agreed.
Late payments may incur a delay charge as specified in the contract.
Rasml reserves the right to suspend work if invoices remain unpaid beyond the agreed period.
All prices are exclusive of VAT unless stated. VAT will be applied at the applicable rate per ZATCA regulations.

5. Client Responsibilities

The Client agrees to:

Provide timely access to the site at agreed times
Supply accurate site drawings, specifications, and information
Ensure the site is safe and ready for work commencement
Obtain any required permits or approvals unless agreed otherwise
Designate an authorized representative for technical and contractual decisions
Pay invoices within the agreed terms

6. Contractor Responsibilities

Rasml agrees to:

Perform all work in a professional and workmanlike manner
Use quality materials meeting applicable standards
Comply with Saudi safety regulations and site rules
Maintain appropriate insurance coverage
Provide qualified and trained technicians
Notify the Client of any issues affecting schedule or cost

7. Warranty

Rasml provides a one-year warranty on installation workmanship from the date of project handover, unless otherwise specified.
Equipment and materials warranties are subject to the respective manufacturer terms.
The warranty is void if the system is modified, misused, or maintained by unauthorized parties.

8. Liability

Rasml's total liability shall not exceed the value of the contract for the specific project.
Rasml is not liable for indirect, consequential, or loss-of-profit damages.
Rasml is not responsible for delays caused by the Client, third parties, force majeure, or government decisions.

9. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, wars, pandemics, government restrictions, or supply chain disruptions. The affected party must notify the other party in writing within 7 days.

10. Termination

Either party may terminate the contract with 30 days' written notice for convenience.
Rasml may terminate immediately for non-payment, breach of safety requirements, or persistent obstruction of work.
Upon termination, the Client shall pay for all work completed and materials procured up to the termination date.

11. Intellectual Property

All designs, drawings, and technical documents prepared by Rasml remain the property of Rasml until full payment is received, after which ownership transfers to the Client.

12. Confidentiality

Both parties agree to keep confidential any proprietary technical, financial, or business information disclosed during the engagement and not to disclose it to third parties without prior written consent.

13. Dispute Resolution

Disputes shall first be addressed through good-faith negotiation.
If unresolved within 30 days, disputes shall be referred to the competent courts of the Kingdom of Saudi Arabia in accordance with Saudi law.

14. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia, including applicable commercial, labor, and construction regulations.

15. Amendments

Rasml reserves the right to update these Terms. Clients will be notified of material changes. Continued engagement with our services constitutes acceptance.
